By accessing or using CloudScale Technologies' services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

CloudScale Technologies provides AI-powered marketing automation and SEO management software as a service (SaaS) for businesses with multiple locations.

3. Account Registration

To use our Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Be at least 18 years old or have parental consent

4. Subscription and Payment

4.1 Subscription Plans

4.2 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is due upon invoice receipt
• We accept bank transfers and other payment methods as specified
• All fees are non-refundable except as required by law or stated in our Refund Policy

4.3 Price Changes

We reserve the right to modify our pricing with 30 days' notice to existing subscribers. Continued use after notice constitutes acceptance of new prices.

5. Service Level and Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

6. User Responsibilities

You agree to:

• Use the Service only for lawful purposes
• Not interfere with or disrupt the Service
• Not attempt to gain unauthorized access to any systems
• Not upload malicious code or harmful content
• Comply with all applicable laws and regulations
• Not resell or redistribute the Service without authorization

7. Intellectual Property

7.1 Our Property

The Service, including all software, content, trademarks, and technology, is owned by FKM CloudScale Technologies Ltd and protected by intellectual property laws.

7.2 Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a license to use, store, and process it solely to provide the Service.

8. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy. We process personal data in accordance with GDPR and applicable data protection laws.

9. Termination

9.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

9.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Pose a security risk to the Service

9.3 Effect of Termination

Upon termination, your access will cease and we may delete your data in accordance with our data retention policy. You remain liable for all fees incurred before termination.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the 12 months before the claim
• We are not liable for service interruptions, data loss, or third-party actions

You agree to indemnify and hold us harmless from any claims arising from your use of the Service, your content, or your violation of these Terms.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Cyprus. Disputes shall be resolved in the courts of Cyprus, except where EU consumer protection laws provide otherwise.

14. Consumer Rights

If you are a consumer in the European Union, you have additional rights including:

• 14-day right of withdrawal (see our Right of Withdrawal page)
• Protection under consumer protection laws of your country
• Access to alternative dispute resolution through the EU ODR platform

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and FKM CloudScale Technologies Ltd.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 No Waiver

Failure to enforce any right or provision does not constitute a waiver of that right.

15.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.
